Terms of Service

1. Definitions

  • "Service" means the CornerStone Agentic Score platform, including the onboarding site, MCP server tools (e.g. run_prediction, run_backtest, link_bank_account, get_agent_reputation_score, get_borrower_score), bank linking via Plaid, allowlist registration, and related APIs and documentation.
  • "User," "you," "your" means any person or entity that accesses or uses the Service.
  • "We," "us," "our" means Arnstein Banking Systems, the operator of the Service.
  • "Agent" means an automated system (e.g. software agent) that interacts with the Service on behalf of a User, including via wallet addresses registered on the allowlist.

2. Description of the Service

The Service provides:

  • Data and analytics tools (e.g. stock predictions, trading strategy backtests) delivered via API or MCP, subject to payment (e.g. x402 protocol).
  • Bank linking so you can connect a bank account via Plaid for the purpose of deriving a borrower/reputation signal. The Service does not open deposit accounts, extend credit, or hold funds.
  • Scoring and allowlist so you can register agent wallet addresses and obtain reputation or borrower scores for use in trust and lending decisions.

The Service does not provide: investment advice, brokerage, or financial institution services. We are not registered as an investment adviser or broker-dealer with the SEC or any state securities authority. Information and outputs from the Service (including predictions and backtests) are for informational and educational purposes only and do not constitute financial, investment, trading, or legal advice. You are solely responsible for your own decisions.

3. Eligibility

You may use the Service only if you are at least 18 years of age (or the age of majority in your jurisdiction) and are not prohibited by applicable law from using the Service. You represent that you have the authority to bind any entity on whose behalf you use the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Use the Service in violation of any applicable law or regulation.
  • Use the Service to facilitate fraud, money laundering, or other illicit activity.
  • Attempt to gain unauthorized access to the Service, other users’ data, or any system or network.
  • Reverse engineer, scrape, or overload the Service beyond normal use.
  • Use the Service to harm, harass, or mislead others.

We may suspend or terminate access for violation of these terms or for any reason we deem necessary to protect the Service or others.

5. Payment and Refunds

Use of certain features (e.g. predictions, backtests, bank linking) may require payment via the x402 protocol or other means described at the time of use. Lender subscription: Access to query agent and borrower scores as a lender may be offered via a paid subscription (e.g. $39.99/month). Such subscriptions are processed by RevenueCat and, where applicable, Stripe or the applicable app store. By subscribing, you agree to the payment terms presented at the time of purchase and to any third-party processor terms (e.g. RevenueCat, Stripe). Fees are as displayed or communicated. Unless otherwise stated, payments are non-refundable. We do not guarantee availability or specific outcomes from paid features.

6. Third-Party Services and Privacy

The Service integrates with third-party providers such as Plaid (bank linking; bank links are automatically disconnected after 29 days and may be re-established at any time), RevenueCat (subscription management), and, where applicable, Stripe or app store payment processors. Your use of those services is subject to their terms and privacy policies. Our handling of personal data is described in the Privacy Policy at /legal/privacy.

7. Intellectual Property

We and our licensors retain all rights, title, and interest in the Service, including all software, documentation, and content. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal or lawful business purposes.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. PAST PERFORMANCE (INCLUDING FROM BACKTESTS) DOES NOT GUARANTEE FUTURE RESULTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER).

10. No Waiver of Consumer Rights

Nothing in these Terms is intended to, or shall, waive, limit, or otherwise affect your rights under applicable consumer protection, financial, or other laws, including but not limited to the Truth in Lending Act (TILA), the Electronic Fund Transfer Act (EFTA), the Consumer Review Fairness Act (CRFA), or any state or local equivalents. Where a term is unenforceable or restricted by law, the remainder of these Terms remains in effect.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Provisions that by their nature should survive (including disclaimers, limitation of liability, and dispute resolution) will survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of Zurich, Switzerland, unless mandatory law requires otherwise. You agree to bring claims only in your individual capacity and not as a class or representative action where prohibited.

13. Changes, Notices, and Contact

We may update these Terms from time to time. We will post the updated Terms and, where appropriate, notify you (e.g. by email or notice on the Service). Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.
